User Eligibility

By using our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using our services under applicable laws
• All information you provide is accurate and complete

Project Agreements

Proposals and Quotes

All projects begin with a proposal or quote that outlines:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revision policy
• Any special terms or conditions

Acceptance

A project agreement is formed when:

• You accept our proposal in writing (email or signed document)
• You make the initial payment or deposit

Payment Terms

Payment Structure

• Deposit: 50% upfront payment to begin work
• Milestone Payments: Payments at agreed project stages (for larger projects)
• Final Payment: Remaining balance due upon project completion

Late Payments

Late payments may result in:

• Project delays or suspension of work
• Late fees of 1.5% per month on overdue amounts
• Withholding of final deliverables until payment is received
• Legal action to recover outstanding amounts

Client Responsibilities

As a client, you agree to:

• Provide all necessary materials, assets, and information in a timely manner
• Respond to requests for feedback and approvals within agreed timeframes
• Ensure you have the rights to all materials you provide
• Make payments according to the agreed schedule
• Communicate clearly and professionally
• Provide accurate contact information

Intellectual Property Rights

Client-Provided Materials

You retain all rights to materials you provide. By providing materials, you grant us a license to use them solely for the purpose of completing your project.

Work Product

Upon full payment, you will receive:

• Full ownership of the final deliverables
• Rights to use the work for your intended purposes
• Source files (if included in the agreement)

Our Rights

We retain the right to:

• Display completed work in our portfolio
• Use the work as a case study or example
• Reference the project in marketing materials
• Retain copies for our records

If you require confidentiality, please request a Non-Disclosure Agreement (NDA) before the project begins.

Third-Party Assets

If we use third-party assets (stock footage, music, fonts, etc.), you are responsible for:

• Licensing fees (if applicable)
• Compliance with license terms
• Renewal of licenses as needed

Revisions and Changes

Included Revisions

Most projects include a specified number of revision rounds. Revisions must:

• Be requested within the agreed timeframe
• Fall within the original project scope
• Be clearly communicated in writing

Additional Revisions

Revisions beyond the agreed number or scope changes may incur additional fees. We will provide a quote before proceeding with additional work.

Approval Process

Your approval of deliverables indicates:

• Acceptance of the work as complete
• Agreement that the work meets specifications
• Waiver of further revisions (unless otherwise agreed)

Project Timeline

We will make reasonable efforts to meet agreed deadlines. However, timelines are estimates and may be affected by:

• Delays in receiving client materials or feedback
• Scope changes or additional requests
• Technical issues or unforeseen circumstances
• Force majeure events

We will communicate any anticipated delays as soon as possible.

Cancellation and Termination

Client Cancellation

You may cancel a project at any time by providing written notice. Cancellation terms:

• You will be charged for all work completed to date
• Deposits are non-refundable
• Partial refunds may be available (see our Refund Policy)
• You will receive all work completed up to the cancellation date

Our Right to Terminate

We reserve the right to terminate a project if:

• Payments are not made according to the agreed schedule
• You fail to provide necessary materials or feedback
• You engage in abusive or unprofessional behavior
• The project violates our policies or applicable laws

Confidentiality

We will treat your project information as confidential and will not disclose it to third parties without your consent, except:

• To service providers necessary for project completion
• As required by law
• With your explicit permission

For additional confidentiality protection, we can execute a separate NDA upon request.

Warranties and Disclaimers

Our Warranties

We warrant that:

• Services will be performed with professional skill and care
• Work will be original or properly licensed
• We have the right to provide the services

Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Specific results or outcomes

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, revenue, or business opportunities
• We are not liable for damages resulting from your use of deliverables

Indemnification

You agree to indemnify and hold harmless Royal Groups from any claims, damages, or expenses arising from:

• Your use of our deliverables
• Materials you provide to us
• Your breach of these Terms
• Your violation of any third-party rights

Dispute Resolution

Informal Resolution

We encourage resolving disputes through direct communication. Please contact us at support@royalgroupsvideo.com to discuss any concerns.

Mediation

If informal resolution fails, we agree to attempt mediation before pursuing legal action.

Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles.

Jurisdiction

Any legal action must be brought in the courts located in Springfield, Missouri.

General Provisions

Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Royal Groups.

Modifications

We may modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.
